1. Who we are

GrantReady is a service operated by FMNLive LLC ("we", "us", "our"), a limited liability company. By creating an account or using GrantReady (the "Service"), you ("you", "user") enter into a binding agreement with FMNLive LLC.

2. Acceptance of these terms

By accessing or using the Service you agree to be bound by these Terms & Conditions and our Privacy Notice. If you do not agree, you must not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

3. The Service

GrantReady provides a workspace for nonprofit teams to track their grant pipeline, deadlines, tasks, reports and program outcomes. We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected.

4. Acceptable use

You agree not to misuse the Service. In particular, you will not:

• use the Service for any unlawful, fraudulent or deceptive purpose;
• send spam, malware, or content that infringes intellectual property rights;
• probe, scan or attempt to breach the security of the Service;
• scrape, copy or attempt to reverse engineer the Service;
• resell or redistribute the Service or circumvent technical limits.

5. Accounts

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate information and keep it up to date.

6. Intellectual property

FMNLive LLC retains all right, title and interest in the Service, including its software, documentation and branding. You retain ownership of any content you upload, and you grant us a limited license to host and process that content solely so we can provide the Service to you.

7. Payments, billing, taxes and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, applicable taxes, subscription renewal and cancellation mechanics are governed by Paddle's Buyer Terms. Refunds are handled in accordance with our Refund Policy.

8. Service availability

We work hard to keep the Service running smoothly, but we do not guarantee that the Service will be uninterrupted, error-free or available at all times. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these terms, fail to pay fees when due, create a security or fraud risk, or repeatedly or seriously violate our policies. On termination, you may export your data for a reasonable period before it is deleted.

10. Limitation of liability

To the fullest extent permitted by law, our aggregate liability under these terms is capped at the fees you paid to us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential or special damages, including loss of profits, data or goodwill. Nothing in these terms excludes liability for fraud, death or personal injury where such exclusion would be unlawful.

11. Indemnification

You agree to indemnify FMNLive LLC against claims arising from your content, your unlawful use of the Service, or your violation of these terms.

12. Governing law

These terms are governed by the laws of the United States and the state in which FMNLive LLC is registered. Disputes will be resolved in the courts of that jurisdiction.

13. Changes

We may update these terms from time to time. Material changes will be notified to you by email or in-product notice before they take effect.
